Goshen Animal Welfare League, Inc.
ARTICLE I Name
The name of this organization shall be the Goshen Animal Welfare League.
ARTICLE II Object
The purpose of this organization is to promote and provide programs encouraging responsible animal ownership and community involvement in animal welfare.
ARTICLE III Members
Section 1 The members of this organization shall be those concerned with the welfare of all animals, prevention of cruelty or neglect to animals, interested in supporting and participating in the league, and have paid dues according to these by laws. They shall have all the rights of membership.
Section 2 Dues shall be $20.00/yr. payable the last day of the month the individual became a member. Dues may be paid semi-annually.
Section 3 Dues shall be delinquent one month after they are due. If dues are not paid within 2 months after the due date, membership shall be forfeited.
Section 4 A member in good standing shall be entitled to one vote at meetings.
Section 5 Application for membership. Membership forms shall be provided by the membership committee to the prospective member with a copy of the bylaws.
Section 6 Members may resign with written notice to the organization.
ARTICLE IV Officers
Section 1 The officers of the league membership shall be president, vice president, recording secretary, corresponding secretary and treasurer.
Section 2 Officers shall be elected at the annual membership meeting in May in the odd numbered years for a term of two years, by vote of the majority of members seated at the membership meeting.
Section 3 Vacancies in offices shall be filled by election of seated members at the next regularly scheduled membership meeting.
ARTICLE V Meetings
Section 1 Regular membership meetings shall be held on the first Tuesday of the odd numbered month, unless otherwise rescheduled by the President because of national holidays, severe weather or an extreme situation.
Section 2 The annual meeting will be held in the month of May to coincide with the regularly scheduled monthly membership meeting. Election of officers to be held at the annual meeting in the odd numbered year.
Section 3. Special meetings of the membership may be called by the president, to address emergency situations which cannot wait for the next regularly scheduled membership meeting. Notice must be given in writing to all members 10 days in advance.
Section 4. Quorum for membership meetings shall be 10% of the total membership provided there are at least 3 officers and/or directors present.
ARTICLE VI Board of Directors
Section 1. The board of directors shall consist of the officers of this organization and 6 members elected to the board by the membership at the annual membership meeting. The board of directors shall conduct the business of the organization between meetings of the membership.
Section 2 Term will be 3 years.
Section 3 Board of directors shall meet semi-annually; January and July, prior to regularly scheduled membership meeting.
Section 4 Quorum for directors meetings shall be 7.
Section 5 Vacancies will be filled from submitted applications by election of the membership at the next regularly scheduled membership meeting.
ARTICLE VII Committees
Section 1 Standing committees shall be membership, finance, bylaws, fund-raising, public relations, and nominating.
Section 2 Special committees shall be established by the board of directors or by the membership as necessary.
Section 3 Committee chairs will be presented to the membership for approval at the first regularly scheduled membership meeting after the annual election.
Section 4 Committee chairs will be seated for 2 years.
ARTICLE VIII Parliamentary Authority
The rules contained in the current edition of Roberts Rules of Order Newly Revised, shall govern GAWL in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the organization may adopt.
ARTICLE IX Amendments
Section 1 These bylaws may be amended by the membership at any annual meeting, provided that notice has been given in writing to every member in good standing 60 days in advance. Amendments shall require a two-thirds vote of the members present and voting in the affirmative.
Section 2. Amendments shall take effect 30 days after the meeting at which they were adopted.
ARTICLE X - Dissolution
Section 1 Upon dissolution, the remaining assests of the League are to be dedicated to the provision of a low cost spay/neuter program.
